Jeffrey Rutherford, Edgewater TechnologyEdgewater Technology, a Microsoft and Oracle partner, has become part of Canadian Alithya. The deal closed this week following shareholder approval which establishes Alithya and Edgewater as subsidiaries of the newly formed Alithya Group, which will take Edgewater’s place as a publicly traded company on Nasdaq.

As a result of the merger, shareholders of the old Alithya were to hold about 58 percent of the common stock; Edgewater shareholders about 42 percent. The Edgewater investors were also to receive $17.2 million in a special dividend, declared on October 18. Under a golden parachute provision, Edgewater’s interim CEO Jeffrey Rutherford was to receive $360,309; acting CFO Paul McNeice was to get $220,000. Concurrently with the deal, Alithya completed a private placement which garnered proceeds of approximately $38.2 million, which will be used to pay debt, fund growth and for other corporate purposes. The companies had about $262 million in revenue and a loss of roughly $34.6 million for the year ended March 31 on a pro forma basis. Alithya lost about $1.8 million for the first quarter ended June 30, almost unchanged from the prior year’s loss. Consulting fee revenue for most recently ended quarter was roughly $31.8 million, 3.9 percent over the prior year with the increase coming largely from organic growth in energy and financial services verticals. Canadian revenue was 94 percent of the total with the rest from France.
