PERVASIVE SOLICITS BUYERS

Pervasive Software logoPervasive Software is seeking bids for the company after getting an unsolicited proposal last month. Austin, Texas-based Pervasive received the proposal from Actian Corp. on August 13 and has instructed its financial advisor, Shea & Co., to seek non-binding bids from interested parties. Actian offered $8.50 per share in cash in a deal that is valued at about $154 million. Actian said that Pervasive had so far repeatedly declined its offer to discuss the proposal.

 

Pervasive said the total stock was worth about $74.3 million on December 31. This would be have been a lot bigger news 15 years ago, but Pervasive still has a chunk of the embedded database market in the accounting software arena. In its 10-K filing this month, the company said Pervasive PSQL represents about 54 percent of its annual revenue. Pervasive noted that at one time, accounting software vendors represented as much as 20 percent of revenue, but it's clearly too low now to be considered material to operations, just as Sage, which once comprised 10 percent of revenue, probably hasn't reached that level for a while. However, Pervasive noted, "we expect we will continue to depend on a limited number of distributors, certain of our ISV customers and sales related to accounting software applications for a significant portion of our revenues in future periods ..." The company earned $1.7 million for the year ended June 30, down 43 percent from $2.9 million in 2011. And earnings have been on a slide since fiscal 2009 when they were at $5.3 million. Revenue for the most recently ended year was $49.2 million, an increase of 1.6 percent from $48.4 million a year earlier. The company's bottom line has been eaten away by a steady rise in expenses since fiscal 2008. Actian owns the Ingres database and also markets the Vectorwise analytical database and generally it's a big data, not a midmarket company. Among its customers is CRM vendor Zoho which utilizes Vectorwise in its Zoho Reports, an online reporting and business intelligence tool. Actian's ISVs and OEMs include Infor, Motorola, Phillips and Siemens. It has a limited reseller channel, with regional dealers, compared to the much broader Pervasive channel.
