ADVENT TO BUY UNIT4 Featured

Chris Ouwinga, Unit4Advent International, a Boston, Mass.-based private equity investor, has reached an agreement to buy Unit4, which makes the Coda and Agresso software lines. A major thrust of the agreement is the expansion of Unit4 and its product lines. The investment will accelerate Unit4's SaaS efforts, including its majority ownership in FinancialForce.com.

That also involves moving into more geographies and vertical markets. Unit4 will remain a separate legal entity and will keep its management and headquarters in the Netherlands. The price translates as roughly $59.60 per share, which is said to be a premium of 54.8 percent over the average closing share price for the year prior to October 13. There were 29.7 million shares outstanding on August 31 which puts the deal in the range of $1.8 billion. The management board and supervisory board are support the deal with founder and retiring CEO Chris Ouwinga pledging to sell his shares which represent about 5.6 percent of the total outstanding. The agreement says there will be no job losses as a direct consequence of the Offer and that minority shareholder interests will be protected via the appointment of an independent non-executive director with certain veto right. If you haven't been keeping score, private equity firms now own Epicor, Abila (which acquired Sage's non-profit software), Deltek; Sweden's Jeeves Information Systems, an ERP company which has tried to enter the U.S.;  and Aptean, which owns the product lines of the former Consona and former CDC Software. Accel-KKR owns Abila which then acquired Avectra; it has an investment in SwiftPage, which bought Act and SalesLogix; a majority investment in Accellos, which just acquired Profit Systems; and an investment of undisclosed size in On Center Software.
